Canonical: https://www.dineplatform.com/terms/ --- [Back to home](/) Legal # Terms & Conditions Last updated: June 2026 · DinePlatform These Terms & Conditions ("Terms") govern your access to and use of the DinePlatform Client Center ("Platform"), operated by DinePlatform ("we", "us", "our"). By creating an account and using the Platform, you agree to be bound by these Terms. ## 1. The Platform DinePlatform provides white-label online ordering software that enables food and hospitality businesses ("Merchants") to deploy and manage their own branded online ordering apps ("Apps"). We provide the technology infrastructure; you are responsible for operating and managing your App and your relationship with your customers. ## 2. Eligibility You must be at least 18 years old and have legal authority to enter into a binding contract on behalf of yourself or the business you represent. By registering, you confirm that the information you provide is accurate and up to date. ## 3. Account Responsibilities - You are responsible for maintaining the security of your account credentials. - You must not share your account access with unauthorised individuals. - You are responsible for all activity that occurs under your account. - You must notify us immediately if you suspect unauthorised access to your account. ## 4. Subscriptions and Billing - Access to certain features requires an active paid subscription. Subscription plans and pricing are set out in the Platform and may change with notice. - Billing is processed via Stripe. By providing payment details, you authorise us to charge you on a recurring basis according to your plan. - Subscriptions renew automatically unless cancelled before the renewal date. - You may upgrade or downgrade your subscription plan at any time. Plan changes take effect immediately. No prorated refunds are issued for unused time on your previous plan when switching plans. - We offer a grace period as described in your plan before service is suspended for non-payment. - Refunds are not provided for partial billing periods, except where required by applicable law. ## 5. Platform Commission Depending on your subscription plan, DinePlatform may charge a percentage commission on orders processed through your App. The commission rate applicable to your plan is displayed in the Platform. This charge is applied automatically and is non-negotiable unless separately agreed in writing. ## 6. Acceptable Use You agree not to use the Platform to: - Operate businesses in illegal industries or sell prohibited goods or services. - Process fraudulent transactions or misrepresent your business to customers. - Attempt to reverse-engineer, copy, or redistribute the Platform's code or technology. - Circumvent or disable security features of the Platform. - Upload malicious code, viruses, or harmful content. - Violate any applicable law or regulation. ## 7. Your Responsibilities as a Merchant - You are solely responsible for the accuracy of your menu, pricing, allergen information, and any other content published through your App. - You are responsible for fulfilling orders placed by your customers and handling customer complaints and refunds. - You must comply with all applicable food safety, consumer protection, and data protection laws. - You must maintain your own privacy policy within your App that accurately describes how you handle your customers' personal data. - You are responsible for obtaining any licences and permits required to operate your food business. ## 8. Third-Party Services The Platform integrates with third-party services including Stripe (payments), Uber Direct (delivery), and Google Cloud (infrastructure, including but not limited to authentication, database, storage, cloud functions, and secret management). Your use of these services is also subject to their respective terms. We are not responsible for the availability, performance, or terms of third-party services. ## 9. Intellectual Property The Platform, including its code, design, and technology, is and remains the intellectual property of DinePlatform. Your subscription grants you a non-exclusive, non-transferable licence to use the Platform for the duration of your subscription. You retain ownership of the content you upload (logos, menus, images), and grant us a licence to host and display it solely for the purpose of providing the Platform. ## 10. Uptime and Service Availability We aim to maintain high availability of the Platform but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, or events outside our control may result in temporary unavailability. We will make reasonable efforts to notify you of planned downtime in advance. ## 11. Limitation of Liability To the maximum extent permitted by applicable law, DinePlatform shall not be liable for: - Indirect, incidental, or consequential losses arising from your use of the Platform. - Loss of revenue, profits, or business opportunity. - Losses arising from third-party service failures (including Stripe or Uber Direct). - Any actions or omissions of your customers. Our total liability to you in any 12-month period shall not exceed the total subscription fees paid by you in that period. ## 12. Termination - You may cancel your subscription at any time through the Platform. Access continues until the end of your current billing period. - We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding amounts. - On termination, your App will be taken offline and your data will be retained for 90 days before deletion, during which time you may request an export. ## 13. Changes to These Terms We may update these Terms from time to time. We will notify you of material changes via email and/or a prominent notice within the Platform at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription before the effective date. ## 14. Governing Law These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales. ## 15.
